Summary (For Homeowners)

At Prime Logic, LLC ("Prime Logic"), we believe in simple, transparent agreements. Before the legal language below, here's the plain-English version of what you're agreeing to:

  • Prime Logic is an AI-powered coordination platform. We connect you with independent painting professionals and provide instant Good / Better / Best pricing. We are not the painter—we do not perform painting labor ourselves.
  • Contractors are independent businesses—not employees of Prime Logic. They are responsible for their own insurance, safety, tools, and workmanship.
  • AI-generated pricing is an estimate. If conditions at your property differ from what was submitted, the contractor may revise the price before work begins.
  • Deposits may be partially or fully non-refundable once a contractor accepts a job or purchases materials. We'll always work with you reasonably, but last-minute cancellations can cause real costs.

Our warranty depends on the package you choose:

  • Good – 5-Year Labor-Only Refresh Guarantee (Transferable)
  • Better – 7-Year Labor-Only Refresh Guarantee (Transferable)
  • Best – 10-Year Labor-Only Refresh Guarantee (Transferable)

Paint products themselves may also be covered under Sherwin-Williams' manufacturer warranty, separate from Prime Logic.

  • Warranty does not cover hurricanes, flooding, structural damage, pressure washing damage, chemicals, or repaint requests due to color change.
  • If there's a dispute, we'll resolve it through arbitration in Florida — not court.

Full Legal Terms

1. Acceptance of Terms
  • By accessing or using the Prime Logic website, platform, chatbot, SMS system, scheduling tools, or related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Agreement"). If you do not agree, do not use the Services.
2. Nature of Prime Logic's Role
  • Prime Logic is a technology and coordination platform that connects homeowners ("Customers") with independent painting professionals ("Contractors"). Prime Logic does not perform painting work, does not control or supervise Contractors, and is not responsible for Contractor conduct or performance. Contractors operate as independent businesses and carry their own insurance and liability.
3. AI Estimates & Project Confirmation
  • Pricing generated by Prime Logic's AI or platform tools constitutes an estimate only. Final project terms require Customer approval and Contractor acceptance. If property conditions differ from submitted information, Contractor may issue a revised quote before work begins.
4. Payments, Deposits & Cancellations
  • Payments and deposits made through Prime Logic may be forwarded to Contractors or used for material procurement. If a project is cancelled after Contractor acceptance or material purchase, a portion or all of the deposit may be retained to cover incurred costs. Filing a chargeback without first attempting resolution through Prime Logic may be treated as fraudulent activity.
5. Tiered Refresh Guarantee (Labor Only — Transferable)
  • Good – 5-Year Labor-only repair of areas exhibiting coating failure
  • Better – 7-Year Labor-only coverage
  • Best – 10-Year Labor-only coverage

All warranties are transferable to a new homeowner automatically.

Warranty Exclusions: Damage caused by storms, flooding, structural shifts, chemicals, neglect, pressure washing, abrasion, or cosmetic change requests.

Materials Warranty: Paint products may also be covered separately under Sherwin-Williams' manufacturer warranty, subject to their terms.

6. Liability Limitation
  • To the fullest extent permitted by law, Prime Logic is not liable for incidental, indirect, or consequential damages. Prime Logic's maximum liability is limited to the service fees retained by Prime Logic on the affected project.
7. Indemnification
  • Customer agrees to indemnify and hold harmless Prime Logic from claims arising out of Contractor actions or property conditions.
8. Dispute Resolution — Mandatory Arbitration
  • Any dispute shall be resolved exclusively through binding arbitration in Lee County, Florida, under the rules of the American Arbitration Association. Class actions are prohibited.
9. Governing Law
  • This Agreement is governed by the laws of the State of Florida.
10. Modification of Terms
  • Prime Logic may modify these Terms at any time. Continued use of the Services constitutes acceptance of revised Terms.
