License Agreement

Summary

Read this carefully. If you want to work with Prime Logic, these are the rules — no exceptions:

  • You are an **independent contractor**, not an employee or partner. You run your own business and are fully responsible for your conduct.
  • You must carry **active General Liability Insurance, Workers’ Compensation Insurance (where legally required), and Automobile Insurance** at all times. No coverage = no work.
  • All customers assigned to you **belong to Prime Logic**, not you. You are **strictly prohibited** from bypassing the platform or taking side jobs with Prime Logic clients.
  • Every job must follow **Prime Logic pricing, scheduling, communication protocol, Sherwin-Williams product specifications, and PCA quality standards.**
  • If you fail to meet our standards — or attempt to work outside the system — Prime Logic reserves the right to **immediately remove you, cancel future work, withhold payments, and pursue legal action.**
  • By accepting jobs through Prime Logic, you agree that **all disputes are to be resolved by binding arbitration under Florida law.**

Full Legal Terms

1. Independent Contractor Status
  • Subcontractor acknowledges they are not an employee, agent, or partner of Prime Logic. All taxes, insurance, and liabilities are their sole responsibility.
2. Mandatory Insurance Coverage
  • Subcontractor must maintain active General Liability Insurance, Workers’ Compensation Insurance where required by law, and Automobile Insurance for all work-related transportation. Proof of coverage must be provided upon request. Failure to maintain coverage results in immediate termination.
3. Non-Circumvention & Client Ownership
  • Subcontractor agrees not to solicit, contract, or perform services for Prime Logic clients outside of the Prime Logic platform. Any violation constitutes breach and may result in legal action.
4. Quality & Compliance Standards
  • All work must meet or exceed Sherwin-Williams specifications and PCA craftsmanship standards. Prime Logic reserves the right to reassign or terminate subcontractors who fail inspections.
5. Indemnification
  • Subcontractor shall indemnify and hold harmless Prime Logic from any claims, damages, or liabilities arising out of subcontractor actions, negligence, or failure to comply with this agreement.
6. Termination & Withholding of Payments
  • Prime Logic may terminate subcontractor access at any time for violations. Payments may be withheld in cases of property damage, customer complaints, or breach.
7. Governing Law & Arbitration
  • This agreement is governed by Florida law. All disputes shall be resolved exclusively by binding arbitration in the State of Florida.
